1. Acceptance of Terms
By registering for a Siwaan account, deploying our on-premise monitoring agent, or utilizing our dashboard web application, you agree to be bound by these Terms of Service. If you are accepting on behalf of an enterprise, you warrant that you hold appropriate authority to bind the entity.
2. Description of Service
Siwaan provides an artificial intelligence workforce forecasting and resource allocation optimization software platform. The system operates as a hybrid on-premise processing agent paired with a cloud metadata dashboard interface.
3. Customer Responsibilities
You are solely responsible for ensuring you have obtained necessary consent and permissions from your employees before uploading or syncing HRIS records, project history metrics, or WSR surveys to the local processing node. You agree to protect credentials and admin access profiles.
4. Siwaan Responsibilities
We commit to maintaining a 99.5% service availability uptime for the cloud metadata dashboard interface (excluding scheduled maintenance windows). We guarantee that no client raw payroll or text transcripts are stored on our servers.
5. Intellectual Property
Siwaan owns all proprietary algorithms, interface designs, model checkpoints, and source code. The customer retains absolute ownership and title over all uploaded employee records, project schemas, and custom retention playbook text files.
6. Data Privacy
All customer records processed by the system are governed by our Privacy Policy. You agree that local AI inference requires local CPU/GPU computing resources provided at your cost.
7. Payment & Invoicing
Payment terms are monthly or annually in advance based on seat volume or monitored employee headcount. Overdue invoices represent a breach that can lead to dashboard access suspension.
8. Contract Termination
Either party can terminate active subscription agreements with 30 days prior written notice. Upon contract termination, dashboard connection details are purged, and customer-configured local databases remain under customer control.
9. Limitation of Liability
To the maximum extent permitted by law, Siwaan shall not be liable for any indirect, incidental, or consequential damages (including lost profits or data corruption) arising out of or related to platform utilization.
10. Governing Law
These terms shall be governed and construed in accordance with the laws of the Republic of India, and any disputes shall fall under the exclusive jurisdiction of the courts of Mumbai.
